1. Contracting Parties & Scope of License

These Master Terms of Service and Clickwrap End-User License Agreement (“Agreement”) govern access to and use of the HeyCheck Cloud Compilers deterministic cloud verification, syntax, geometry, and schema compilation software utilities (“Software”) published by IM GAMES L.L.C-FZ, a limited liability company incorporated in the Meydan Free Zone, Emirate of Dubai, United Arab Emirates (Formation No. 2310563, Business License No. 2310563.01, UAE Corporate Tax TRN: 104638954800001), with registered office at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. (“Licensor”).

Upon successful payment processed by Paddle.com, Licensor grants Customer a non-exclusive, non-transferable, revocable commercial license to execute the Software and use the resulting compiled technical output artifacts in Customer’s business operations.

2. Deterministic Technical Compiler Disclaimer (Zero-UPL & No Audit Sign-Off)

THE SOFTWARE OPERATES STRICTLY AS AN AUTOMATED MATHEMATICAL, LEXICAL, AND SCHEMA COMPILER. Licensor is not a law firm, certified public accounting firm, Qualified Security Assessor (QSA), notified conformity assessment body, or licensed architectural/engineering practice. Nothing generated by the Software constitutes legal advice, regulatory certification, tax sign-off, or a licensed professional stamp. Customer remains solely responsible for reviewing and validating any compiled file prior to production deployment or regulatory submission.

3. Customer Ownership & Direct Self-Submission Representation

Customer warrants that it owns or holds lawful authorization to process all input files submitted to the Software. Where the Software compiles intellectual property or marketplace notice dossiers (including under 17 U.S.C. § 512(c)(3)), Customer acts strictly in a Direct Owner Self-Submission capacity; Licensor never acts as an authorized legal agent on Customer’s behalf.

4. Automated Quality Gate (≥ 98% Confidence) & Self-Serve Refunds

Before unlocking paid output, the Software executes an automated structural pre-flight check. If internal deterministic invariants fail to reach the minimum confidence threshold (≥ 98.0%), settlement capture is blocked or automatically refunded in full. Post-purchase refunds are governed by our Instant Refund Policy and Paddle’s Buyer Protection terms.

5. Limitation of Liability (1× Fee Cap) & Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” WITHOUT IMPLIED WARRANTIES. IN NO EVENT SHALL LICENSOR’S AGGREGATE CUMULATIVE LIABILITY EXCEED ONE HUNDRED PERCENT (100%) OF THE AMOUNT ACTUALLY PAID BY CUSTOMER FOR THE SPECIFIC TRANSACTION GIVING RISE TO THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR LOST-PROFIT DAMAGES.

6. Sanctions Compliance

Access to the Software is prohibited in jurisdictions subject to comprehensive sanctions enforced by the United Arab Emirates, OFAC (United States), OFSI (United Kingdom), or the European Union.

7. Governing Law & Dispute Resolution (English Common-Law Forum Opt-In)

Pursuant to Article 5(A)(2) of Dubai Law No. 12 of 2004 (as amended), the parties expressly agree in writing that this Agreement and any non-contractual obligations arising out of it shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC Law), and any dispute shall be subject to the exclusive English-language jurisdiction of the Courts of the DIFC (including the DIFC Small Claims Tribunal via remote electronic hearing for eligible claims).
